    GENERALLY, Matchmaking Service that we provide is a large-scale research and matching service, targeting to meet the demands of national and international companies in respect to finding; business partners, distributorships, cooperations, acquisition or merger/turnover and export/import opportunities.


    THE INTEGRATORZ protects the rights of both sides by providing protective legal and fiscal precautions during the matchmaking and cooperation process. All new formations including mergers, selling/acquisitions or joint ventures occurring as a result of matchmaking are organized and accomplished by our team of THE INTEGRATORZ.


    The followings are the possible requirements of our Matchmaking Service;

    2. 2. Gaining access to new distribution and franchise channels,

    3. 3. Opportunities for new Business Partnerships,

    4. 4. Seeking new Investors,

    5. 5. Selling or acquisition of a company,

    6. 6. Sectorial market researches

    MATCHMAKING STEP BY STEP

    Evaluating the Request and the Requesting Company
    First of all we evaluate whether the request of the company can be fulfilled or not. If the request is feasible, then we carry out a preliminary investigation about the actuality and reliability of the company.


    Creating a Company Profile
    After approving the company and its request, we begin to gather detailed information about the company to create a COMPANY PROFILE.


    It is important that the company profile includes briefly the documents and information below:

    1. 1. Company commerce of registration information (Certificate of Activity, Tax Chart etc.)

    2. 2. Company introduction letter written by the company itself,

    3. 3. Brochures, business cards, presentation videos and visual belongings to the company,

    4. 4. Quality certificates, authorization certificates and licenses, etc. of the company and its partners,

    5. 5. The company’s Financial Statements of the last three years,

    6. 6. Valid business contracts, agreements and job summaries,

    7. 7. Reference letters received from customers,

    8. 8. Credibility and Efficiency letters from the banks,

    Large-Scale Research Process
    We conduct the market research in accordance with the request of the company. During this process, we attend international fairs, join different commercial organizations, search our company profiles or investigate our member network channels. At the end of this process,


    We prepare a POTENTIAL FIRMS list out of the possible firms matching with the request.


    Presentation of Potential Firms
    The list of Potential Firms which is generated based on large-scale research results, is shared with the company.


    When the required discussions on the list are completed, the company can proceed to the next step of choosing an APPROPRIATE FIRM(S) from the list.


    In the case that there are no appropriate firms among the potential firms list, the Research process can be terminated or can start again.


    Contact with Appropriate firms
    Then we contact the chosen appropriate firms for the next stage, and a more detailed information exchange is carried out.


    At this stage, some of the company’s profiles are shared in more detail. The same detailed information is also received about the appropriate firm.


    Meeting Organization
    In this step, a meeting is organized between the related appropriate firm and requesting company at an agreed place and time.


    Details are discussed between the parties in this meeting and if they come to an agreement at a certain point, this agreement will be turned into a protocol/contract by THE INTEGRATORZ to be signed among both sides.


    Implementation of the Agreement
    If required, THE INTEGRATORZ may implement the related provisions of the Protocol/Contract such as; merger, division,forming the joint venture or establishing a new structure.


    DURATION

    It would be wrong to define a certain duration time for Matchmaking service. This depends on various factors such as the sector of the company, the demand of the the company and related country.


    1. 1. It is anticipated that the 1st and 2nd stages which are “Data collection about the company and creating a Company Profile” can be completed within seven days,

    2. 2. The detailed research process usually lasts around three months, and the research process can sometimes be extended for another three months if there are no fitting results. (or notifying the company of the fact that this request cannot be satisfied within the current market conditions),

    3. 3. If required appropriate firms are determined, the interviews between the parties are swiftly organized by THE INTEGRATORZ. As a result,this process is anticipated to take around one month.

    MATCHMAKING (CONFIDENTIALITY) AGREEMENT AND CHARGES

    Agreement
    After approving the Company and its commercial request in the 1st step, we sign a MATCHMAKING (CONFIDENTIALITY) AGREEMENT between THE INTEGRATORZ and the company before the stage of Company Profile creation. By means of this agreement, we ensure that the information and documents that you share with THE INTEGRATORZ shall under no circumstances be used against or in favor of the firm. The details of the process and the mutual obligations of both parties are explicitly covered in detail within this agreement.


    Services Fees:
    We have 3 types of charges given below:


    Service Fee
    We claim no charges until the mentioned “Meeting Organization” phase (6th step) of the Matchmaking steps.

    THE INTEGRATORZ we claim a SERVICE FEE against an invoice when the Meeting Organization occur between the appropriate firm and the requesting company. This service fee covers our costs for large-scale research service given until this meeting organization.

    THE INTEGRATORZ does not claim any service fee for research processes which does not end with the meeting organization.


    Commission Charge
    If any demands should arise as a result of the meetings, we claim a COMMISSION CHARGE for an invoice according to the content of the demand. A reduction in the amount of previous Service Fee is applied to the Commission Charge. By this way, the Service Fee will not be collected for your matched requests.


    Implementation Charge
    As THE INTEGRATORZ, we can apply the model which is agreed upon as a result of the Matchmaking process and monitor the process if needed. You can request our Implementation Charges according to the content of need such as merger, division, forming the joint venture or establishing a new structure.
